Holland & Hart represented Electro-Sensors, Inc. (Nasdaq: ELSE), a manufacturer and seller of industrial production monitoring and process control systems for industrial machine applications, in connection with its acquisition by steute Technologies GmbH & Co. KG., an international technology company and portfolio company of investment firm Battery Ventures.
Electro-Sensors announced on April 21, 2026 that it had entered into a Definitive Agreement and Plan of Merger with steute Technologies. Following the transaction, Electro-Sensors will become a wholly owned subsidiary of steute Technologies. Under the terms of the merger agreement, Electro-Sensors shareholders will receive $7.75 per share in cash, representing a premium of approximately 75% to the company's closing stock price on April 20, 2026, the last trading day prior to the announcement.
