Holland & Hart LLP announced today that Michael Farrell has joined the firm as a partner in its Salt Lake City office, deepening the firm’s Tax practice with significant experience in mergers and acquisitions, investment funds, and private equity transactions.
Michael represents clients in all facets of corporate and partnership tax matters, advising on the tax aspects of private equity transactions, public and private mergers and acquisitions, joint ventures, real estate transactions, fund formations, continuation funds, and GP-led secondary transactions. He works with deal teams from the earliest stages to structure transactions for the most favorable tax outcomes in line with his clients’ business goals, analyzing deal economics, recommending entity structures, negotiating the tax provisions of transaction documents, and guiding clients through closing and post-closing implementation.
Michael joins Holland & Hart from the Salt Lake City office of Kirkland & Ellis, where he was a partner in the tax practice. Earlier in his career, he served as a judicial law clerk to Judge Richard T. Morrison of the U.S. Tax Court. Michael also maintains a deep commitment to pro bono work, counseling tax-exempt organizations, volunteering alongside law students with S.J. Quinney College of Law’s Pro Bono Initiative, and representing immigrants and individuals in the criminal justice system. Michael graduated from the University of Michigan Law School and UCLA. He is admitted to practice in Utah and Texas.
“Michael has built an impressive transactional tax practice advising clients on sophisticated private equity, investment fund, and M&A matters,” said Steve Young, leader of Holland & Hart’s Tax practice group. “He understands how tax strategy shapes the outcome of a transaction and brings the structuring judgment clients need when the stakes are high. We’re excited to welcome him to the team and know he will be an asset to our clients and colleagues alike.”
“I’ve long admired Holland & Hart’s reputation, culture, and deep commitment to Utah’s business and legal communities,” said Michael. “Throughout my time practicing in Utah, I’ve seen firsthand the role these lawyers play across the state. I’m excited to join a team of brilliant legal minds that is deeply connected to the community and committed to helping clients succeed.”
