Holland & Hart LLP represented long-standing client Coolerado Corporation, a Denver-based manufacturer of energy-efficient air conditioning systems, in the successful sale of substantially all of its assets to Australian-based Seeley International. Seeley’s announcement in June stated the company “intends to considerably increase its North American operations with a multi-million dollar capital injection designed to increase product availability and customer service.”
Coolerado Corporation manufactures and markets innovative air conditioning systems for commercial, government, and military use. Coolerado has a worldwide network of dealers with installations in more than 40 countries. With proven technology, it’s products use as little as 10% of the energy required by the most efficient conventional systems.
Seeley International is Australia's largest air conditioning manufacturer and an innovative global leader in the design and production of energy-efficient cooling and heating products including Breezair, Convair, Coolair, Braemar, Climate Wizard, and now Coolerado. Headquartered in Adelaide, Australia, Seeley has offices in six countries including the United States, where they have had a local presence for more than 30 years. Seeley products are sold in over 100 countries.
Holland & Hart’s deal team was led by Denver Mergers & Acquisitions partner Betty Arkell, with assistance from Michael Robertson. Additional guidance was provided by Intellectual Property attorneys Matthew Cavarra, Lindsay Silber, and Bryan Pratt. Further support was provided by paralegals Louise Mousseau and Pyper Stivers.
