Holland & Hart Advises Planet 13 Special Committee on Proposed Acquisition by Vireo Growth

Holland & Hart advised the Special Committee of the Board of Directors of Planet 13 Holdings Inc. (Planet 13), a vertically integrated multi-state cannabis company, as local Nevada counsel in connection with the proposed sale of Planet 13 to Vireo Growth Inc. (Vireo), a vertically integrated cannabis company and agricultural markets platform. Foley Hoag LLP served as legal advisor to the Special Committee.

Vireo and Planet 13 announced on July 27, 2026, that they had entered into a definitive merger agreement under which Vireo will acquire all of the issued and outstanding equity interests of Planet 13 in an all-stock transaction. The combination is expected to strengthen Vireo's leadership in Nevada and Florida—adding Planet 13's flagship Las Vegas superstore, the nation's largest dispensary. Together with Vireo's other announced acquisitions, this purchase positions Vireo as the largest U.S. cannabis operator by dispensary count. The transaction remains subject to Planet 13 stockholder approval, regulatory approvals, and other customary closing conditions.
