Tom Chandler counsels established companies on strategic legal issues with business implications, with a focus on corporate governance and mergers and acquisitions. 

Tom has over 35 years of experience as outside counsel managing the day-to-day legal affairs for a wide range of businesses, including healthcare payors, suppliers and providers, property developers, construction material suppliers, automotive dealers, and nonprofit organizations. He represents businesses at all stages of the corporate lifecycle.

Tom has served on the board of directors of a community bank for more than 14 years, as a director of a private construction materials company for over 25 years, on the advisory board of a fiberglass fabrication business, and as an interim president of a company following the untimely death of its prior president. This experience has provided him with keen insight and realistic experience that makes him a trusted advisor to directors, officers, shareholders, founders, and others on both legal and practical issues impacting a business.

Prior to joining Holland & Hart, Tom practiced for many years at Hawley Troxell in Boise, where he chaired the corporate practice group.

Client Results

  • Representation of Idaho’s automobile dealers in the management of legal issues relating to all aspects of the dealer/manufacturer relationship including contract, franchise, captive financial compliance with state dealer/manufacturer statutes, and Idaho consumer protection law.

  • Represented the largest Idaho mutual insurer in governance, contract, regulatory, and general legal matters.

  • Represented shareholders in recovery of company assets wrongfully sold.

  • Managed the legal affairs of multiple veterinary care systems in over 20 states. The work has included:

    • Over 75 transactions in acquiring and selling veterinary practices (from identifying the practice to negotiating, documenting, and closing the acquisitions)
    • Creating and continually enhancing a systematic and repeatable process of purchasing the veterinary practices
    • Drafting and negotiating new regulations with a state veterinary regulatory agency
    • Purchasing, leasing, and disposing of facilities
    • Creating incentive compensation programs including stock options, 401(k), and other plans
    • Negotiating and preparing employment agreements for veterinary professionals
    • Resolving workplace and malpractice claims
    • Preparing construction contracts
    • Implementing financial recapitalizations
    • Registering trademarks
    • Developing system-wide credit and collection policies
    • Negotiating the sale of the different companies to new buyers
  • Represented an expanding Idaho-based company with nationwide operations that supplies the companion and food animal industry. The work included acquisitions of companies in the same line of business and in new lines of business in the United States and Canada, preparation of distribution agreements with manufacturers and customers, preparation of terms of sale governing customer transactions, preparing contracts with key employees, and leasing facilities nationwide.

  • Represented boards of directors in hiring and terminating chief executive officers.

  • Represented boards of directors in developing internal board procedures to fulfill fiduciary and regulatory duties, and complying with the duties.

  • Represented a "build and hold" property owner in successfully redeveloping a multi-building, multi-tenant office park for long-term value.

  • Represented a family building materials business in rejuvenation after the untimely death of its president.
