Oil and Gas Midstream Client Results

  • Lead counsel to WPX Energy (WPX) in connection with a highly competitive, banked bid process for the formation of a joint venture to develop Permian midstream assets in the Delaware Basin. Our work involved the simultaneous negotiation of full-set deal documents with multiple bidders, including limited liability company agreements, formation and contribution agreements, construction management and operating agreements, and commercial contracts for the joint venture.

  • Represented WPX in the negotiation of a joint venture for the construction and operation of a residue gas pipeline in the Permian Basin and the related commercial contracts.

  • Represented WPX in the negotiation of a joint venture for the construction and operation of a FERC-regulated crude oil pipeline in the Permian and the related commercial contracts.

  • Served as lead counsel to Paradigm Energy Partners, LLC in connection with the negotiation of a joint venture for the construction and operation of the Sacagawea Pipeline and the related crude oil gathering pipelines and terminals in Mountrail, North Dakota, including the negotiation of gathering agreements and pipeline connection agreements.

  • Represented Select Energy Services, Inc. in connection with its acquisition of certain water rights and water-related services for E&P companies in the Permian Basin.

  • Represented WBI Energy and WBI Energy Midstream in connection with several divestitures.

  • Represented a private oilfield services development company in connection with the $239 million sale of related entities to a publicly traded master limited partnership.

  • Represented American Midstream Partners, LP in connection with the purchase of Blackwater Midstream Holdings, LLC and its subsidiaries for $60 million.

  • Represented DCP Midstream, LP (NYSE: DPM) and its affiliates in connection with credit agreements for an aggregate principal in excess of $3.2 billion.

  • Represented DCP Midstream, LP and its affiliates in connection with over $6.5 billion in debt and equity capital markets transactions.

  • Represented Tallgrass Energy Partners, LP, Paradigm Energy Partners, LLC, and other national oil and gas midstream companies in the negotiation of oil, gas, and produced water gathering, transportation, and terminaling agreements.

  • Represented DCP Midstream, LP in the drafting and negotiation of infrastructure-related contracts in connection with the expansion of its gathering and processing facilities in Texas, Oklahoma, New Mexico, and Kansas, including the negotiation of engineering, procurement, and construction services agreements, procurement agreements for purchases of line pipe and other midstream-related materials, and electricity supply contracts for processing plants.

  • Represented BNN Water Solutions, LLC, an affiliate of Tallgrass Energy LP, in connection with BNN’s $91 million acquisition of NGL Water Solutions Bakken, LLC, an affiliate of NGL Energy Partners.

  • Represented BNN Water Solutions, LLC, an affiliate of Tallgrass Energy LP, in connection with BNN’s $95 million acquisition of Buckhorn Energy Services, LLC and Buckhorn SWD Solutions, LLC.
