Allen counsels clients in the cannabis space and a variety of other industries on corporate and business matters arising at any phase of a company's lifecycle.
From entry to exit, Allen helps businesses find pragmatic solutions to achieve their goals. He provides start-ups and later-stage companies with a broad range of transactional services, including entity selection and formation, financing transactions, and mergers and acquisitions.
Allen also advises clients in the cannabis industry on various tax and regulatory issues, such as compliance with Section 280E of the Internal Revenue Code, representing clients in federal and state income tax audits, and structuring transactions to receive regulatory approval.
Prior to joining Holland & Hart, Allen practiced in the Corporate and Cannabis practice groups at Greenspoon Marder LLP. While in law school, he worked in-house at a technology company in the cannabis industry, externed for a justice of the Iowa Supreme Court, and supported an initiative to increase electronic access to pro bono legal services.
