Ms. Rabeler's practice focuses on project development, project financing, joint ventures, mergers and acquisitions, with a particular emphasis in the renewable energy and infrastructure sector. She has advised developers, investors, sponsors and independent power producers in connection with wind, solar and geothermal projects throughout the United States, varying in size from 100 kw to 1000 MW.
Ms. Rabeler has significant experience representing both buyers and sellers in stock and asset acquisitions and advising clients regarding debt and equity financings, ranging from complex structures to traditional commercial secured transactions. She routinely drafts and negotiates financing documents (including ISDA Master Agreements and related documentation), purchase and sale agreements and project documents, including land acquisition agreements, power purchase agreements, operations and maintenance agreements, construction contracts and shared facilities agreements.
Lead counsel to Duke Energy in connection with the negotiation of a power purchase agreement to sell the output from a 52 MW solar PV energy project to The George Washington University, American University and The George Washington Hospital.
Represented a developer in the tax equity funding by GE Energy Financial Services of a 165 MW wind energy generation facility in Texas, as well as in the $350 million construction and term loan
Lead counsel to a developer in connection with the membership interest purchase of the Cimarron II Wind Project, a 131 MW wind energy generation project in Kansas
Lead counsel to a developer in connection with the purchase of the assets for a 168 MW wind energy generation facility
Lead counsel to a developer in connection with the membership interest purchase of a 20 MW wind energy generation facility in Glenmore, Wisconsin from Central Hudson Enterprises
Represented a developer in connection with the development and $500 million sale of a 250.2 MW wind generation facility, the largest in Colorado, to a U.S. subsidiary of Enbridge Inc.
Represented a developer in connection with the negotiation of a joint venture regarding, and subsequent sale to Puget Sound Energy of, a portfolio of 1250 MWs of development assets related to 5 projects in Washington State
Represented Gradient Resources, Inc. in connection with a $13 million limited recourse asset financing from GB Merchant Partners, LLC, secured by, among other things, geothermal drilling and cementing equipment owned by multiple affiliates of Gradient Resources and used for the development of multiple geothermal projects
Represented a client in connection with the negotiation of a joint venture regarding a portfolio of 1000 MWs of solar PV development assets in California
Lead counsel for the negotiation on behalf of an EPC contractor the form of Engineering, Procurement and Construction Agreement to be used for the construction of 17 PV solar projects located on a school district site in California
Represented a client in connection with the development of distributed generation roof‐top solar PV installations on commercial buildings in California, New Jersey and Hawaii, among other states
Represented the developer of distributed generation projects located on military bases in Nevada, including the negotiation of site leases and off-take agreements
Represented a developer in connection with the development and sale of a 99 MW wind farm in Kansas to Westar Energy
Represented Accruit, LLC in the sale of its software technology platform and negotiation of Joint Business Relationship with PricewaterhouseCoopers LLP
Represented McNally Holdings and McNally Industries in the acquisition of Pacific Aero Tech, Inc.
Represented Admiral Beverage Corporation in its acquisition of the assets of three beverage distribution companies in a debt financed transaction
