EXPERIENCE

Mr. Wells has substantial transactional experience in business formation, venture capital financings, mergers and acquisitions, equity public offerings, and general public company representation. In addition to negotiating transactions on both coasts and throughout the intermountain states, Mr. Wells has completed cross-border deals involving companies in Canada, Mexico, the UK, Ireland, France, Germany, The Netherlands, Israel and Russia. He enjoys working with entrepreneurs in emerging growth companies and mature enterprises, and with the investors that finance them.

Mr. Wells has represented public and private technology companies since 2000 when he joined Wilson Sonsini Goodrich & Rosati in Palo Alto. He later helped to open that firm's office in Salt Lake City. When Wilson Sonsini closed its Salt Lake office in 2007, Mr. Wells moved to Ray Quinney & Nebeker, P.C. with Mark Bonham and succeeded Mr. Bonham as leader of Ray Quinney's Venture Practice.

During law school, Mr. Wells was a law clerk for the Honorable Paul M. Peatross, Jr. of the Sixteenth Judicial Circuit of Virginia. Prior to pursuing a career in law, he served as a management consultant for International Technology & Trade Associates, Inc. in Washington, D.C.
