Ms. Francis has more than twenty years of experience in employee benefits, providing legislative and regulatory advice on tax, ERISA, executive and equity compensation issues for corporate clients.
She routinely represents clients before the Internal Revenue Service and the Department of Labor in both audits and correction programs. She provides advice to fiduciaries and serves as counsel to the internal benefit and investment committees at several large publicly traded companies.
Ms. Francis has extensive experience in:
Designing, administering, and amending tax-qualified plans (401(k) plans, ESOPs, defined benefit pension plans).
Analyzing and advising clients on the complexities of mergers and acquisitions, prohibited transactions and plan asset rules affecting employee benefits.
Executive compensation, including golden parachute analysis, rabbi trusts and supplemental executive retirement plans, and the application of Code section 409A to various compensation arrangements.
Equity incentive plans involving restricted stock, stock options, stock appreciation rights and other equity-based awards.
Employer-side multiemployer plan participation and withdrawal liability.
Implementing and interpreting welfare benefit plans.
Ms Francis is admitted to practice in Colorado (1992) and the District of Columbia (1988). She was the Chair of Holland & Hart's Benefits Law Group from 2000-2005.
