Mr. Cotter provides direct and practical counsel on corporate finance matters and merger and acquisition transactions. He is well-versed in the legal issues surrounding private and public debt and equity offerings, including secondary and at-the-market offerings. He helps companies both small and large with various corporate concerns, such as raising capital, expanding business, meeting financial objectives, and complying with regulatory requirements.
Mr. Cotter has extensive experience under the 1933 Securities Act, the 1934 Securities Exchange Act, and the Dodd-Frank Act. He represents public companies in 1934 Securities Exchange Act reporting work, including drafting of annual, quarterly, and current reports and proxy statements for foreign and domestic companies in industries ranging from shipping to oil and gas to medical devices. He provides counsel to clients with respect to corporate governance, including Dodd-Frank Act compliance and advice to company boards and committees. Mr. Cotter also has experience representing underwriters in connection with public securities offerings.
